Terms/Notes:
If specific Pooling Area Pools are indicated as Receipt Locations,
the reference is to all generally available Pools and Additional
Individual Receipt Points in such Pooling Area.
The Rate Chgd herein apply only to the services described above,
including without limitation, the quantities, locations, and terms
stated above; all other services will be provided at maximum Tariff
rates, including any applicable Fuel Use, LUFG and surcharges.
Max Trf Rate and Rate Chgd expressed as blended rates
derived by adding the Commodity Charge and the unitized
Reservation Charge, calculated on an assumed 100% load factor
basis based on K Holder's K Qty-K, unless otherwise stated.
K Holder pays Reservation Charge regardless of quantities
transported.
Levelized billing option elected to extent Tariff provides.
Overrun quantities at maximum rates unless otherwise agreed.
Compressor Usage Surcharge (CUS), if applicable, is subject to change
semi-annually and/or subject to FERC approval.
EPC (CUS) Surcharge shall be applicable except as otherwise provided in
Tariff.
The rates which Transporter shall bill and Shipper
shall pay under the Agreement for services up to the
applicable Maximum Delivery Obligation for each Primary
Delivery Point (as specified on the Effective Date hereof)
shall be achieved by discounting, if required,
Transporter's then-effective applicable maximum Tariff
rates to a level which yields the following uint rates
("Transmission Allowance"): $0.2200/dth, for primary
capacity reserved for deliveries to NGPL @HOT SPRINGS DEL;
and $0.2528 for primary capacity reserved for deliveries
to SESH FM-65 CORE DEL, TGT CP DEL, TGT PV CORE DEL,
and TENN 800 (HEADER), each when calculated on an assumed
100% load factor basis, based on the applicable MDO and the
average number of Days in the Service Month during a calendar
year regardless of the quantity of gas transported.
If Shipper utlizes the Secondary Delivery Points listed
below, or if Shipper, pursuant to Section 5.4 (a)(iv) of
the Tariff GT&C, and in accordance with Tariff capacity
allocation procedures, and subject to the availability
of firm capacity, requests and is granted a change in, or
substitution of Primary Delivery Point capacity, then
the applicable Transmission Allowance shall be $0.2528/Dth
for such services.
Shipper hereby elects to be billed on a levelized basis to
the extent Transporter so determines and such option is
available under the Tariff.
Shipper shall pay a Reservation Charge each Month based on
the Dth of Contract Demand specified in the Agreement,
regardless of the quantity of gas transported during the
Service Month. The Reservation Charge (expressed as a unit
rate on an assumed 100% load factor basis) will be calculated
by subtracting the applicable Base Commodity Rate from the
applicable Base Commodity Rate from the applicable
Transmission Allowance; provided, however, if scheduled
maintenance restricts Shipper's Primary Firm Service
hereunder applicable to the 190,000 Dth/D of reserved
capacity priced at Transporter's current maximum applicable
Tariff rate, then Shipper shall receive a credit applicable
to that portion of its Reservation Charge otherwise payable
for the Month calculated pursuant to Section 18.4 of the
General Terms and Conditions of the Tariff using an
Applicable Adjustment Rate based on the lower of the maximum
recourse Reservation Charge Adjustment under Rate Schedule
FT or the applicable unit Reservation Charge as calculated
above.
The Receipt Point(s) eligible for the rates specified herein
shall be those listed in Section 3 of the Agreement (as such
Agreement provides on the Effective Date hereof) and all
generally available points and Pools in the West 1, West 2,
Neutral, North, South, and Line CP Pooling Areas.
The Delivery Point(s) eligible for the rates specified herein
shall be those listed in Section 3 of the Agreement (as such
Agreement provides on the Effective Date hereof or as changed
as described above), and the Secondary Delivery Points
specified below:

Authorized overrun: Any authorized overrun quantities shall
be at the applicable maximum Tariff rate.
In accordance with Section 21.1 of the GT&C of the Tariff,
the parties hereby agree that Shipper shall have a
contractual "right of first refusal" ("ROFR") which will
provide to it the same rights and obligations regarding
extending service under the Agreement as to reserved
capacity on Transporter's system beyond the termination or
expiration date as would be available to Shippers eligible
to invoke the provisions of Section 21 of the GT&C of the
Tariff, as on file and in effect from time to time.
